These Terms of Service ("Terms") govern your access to and use of the Stockria website at stockria.com and the Stockria inventory management software (collectively, the "Service") provided by Stockria ("we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. THE SERVICE
Stockria is a cloud-based inventory management platform. The Service is provided "as is" and "as available." We are an early-stage company and the Service is under active development. Features may change, be added, or be removed at any time.
2. ACCOUNTS
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activity under your account.
You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this requirement.
3. PLANS AND PRICING
Stockria offers Free, Pro, and Business plans. Plan details, pricing, and included features are described on our pricing page. We reserve the right to change pricing for future billing periods with 30 days' notice.
Launch pricing guarantee: If you subscribe during our launch period, your price is locked in for the duration of your continuous subscription, even if we raise prices for new customers.
4. PAYMENTS AND BILLING
Paid plans are billed monthly or annually in advance. Payments are processed by our payment merchant, Dodo. By subscribing to a paid plan, you authorize Dodo to charge your payment method on a recurring basis.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.
If payment fails, we may suspend access to paid features after reasonable notice and attempts to resolve the issue.
5. YOUR DATA
You own the data you enter into the Service (inventory data, product information, orders, etc.). We do not claim any ownership rights over your data.
You grant us a limited license to store, process, and display your data solely to provide the Service to you.
You can export your data as CSV at any time. If you delete your account, we will delete your data within 30 days, except where we are required by law to retain it.

7. INTELLECTUAL PROPERTY
The Service, including its design, code, branding, and documentation, is owned by Stockria and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
8. THIRD-PARTY SERVICES
The Service may integrate with third-party services (e.g., QuickBooks, Shopify, payment processors). Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.
9. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that the results obtained from using the Service will be accurate or reliable.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOCKRIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
11. BETA AND EARLY ACCESS DISCLAIMER
The Service may be offered in beta, early access, or pre-release form. Beta features are provided for evaluation purposes and may contain bugs, errors, or inaccuracies. We make no guarantees about the availability, reliability, or completeness of beta features. Use of beta features is at your own risk.
12. NO GUARANTEE OF RESULTS
Stockria is a tool to help you manage inventory. We do not guarantee any specific business outcomes, including but not limited to: reduced stockouts, increased sales, improved accuracy, or cost savings. Results depend on your data, your processes, and how you use the Service.
13. UPTIME AND AVAILABILITY
We strive to maintain high availability but do not guarantee any specific uptime percentage. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from Service downtime.
14. DATA ACCURACY
You are responsible for the accuracy of the data you enter into the Service. Stockria processes and displays the data you provide but does not independently verify its accuracy. Decisions made based on data in the Service are your responsibility.
15. THIRD-PARTY PAYMENT PROCESSING
All payment processing is handled by Dodo, a third-party payment merchant. We are not responsible for errors, delays, or security issues arising from the payment processor. Your use of the payment processor is subject to their terms of service.
16. FORCE MAJEURE
We are not liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemics, internet outages, power failures, or third-party service disruptions.
17. NO PROFESSIONAL ADVICE
The Service provides inventory management tools and reports. Nothing in the Service constitutes financial, accounting, tax, or legal advice. Consult qualified professionals for advice specific to your business.
18. LIMITATION ON CLAIMS
Any claim arising from or related to these Terms or the Service must be filed within one (1) year after the cause of action arises. Claims filed after this period are permanently barred.
19. INDEMNIFICATION
You agree to indemnify and hold harmless Stockria, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.
20. GOVERNING LAW AND DISPUTES
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.
You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
21. CHANGES TO THESE TERMS
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you must stop using the Service.
22. TERMINATION
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if required by law.
Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including Disclaimer of Warranties, Limitation of Liability, and Indemnification) will continue to apply.
23. SEVERABILITY
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
24. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Stockria regarding the Service.
